Morgan Lewis advised National Refrigeration & Air Conditioning Products Inc. in the sale of its Continental Refrigerator and National Comfort Products (NCP) businesses to Aeritek Foodservice LLC, according to an April 15 announcement.

The transaction involves two primary brands under National Refrigeration & Air Conditioning Products. Continental specializes in designing and manufacturing commercial food service refrigeration solutions, while NCP focuses on creating through-the-wall HVAC systems for multifamily residential buildings.

The legal team from Morgan Lewis included partner Andrew Rocks and associate Lindsay Mozdziock, with additional support from associates Matthew Oakley and Rachel Chang.

This move marks a significant development for both companies as they look to strengthen their positions in the refrigeration and HVAC sectors. The acquisition is expected to impact offerings available for commercial food service operations as well as multifamily residential climate control solutions.

Looking ahead, industry observers will be watching how Aeritek Foodservice integrates these brands into its portfolio and what changes may come for customers of Continental Refrigerator and NCP.
